UBO?

The term UBO refers to the ultimate beneficial owner, i.e., the ultimate beneficiary of a company. According to the basic rule, this is someone who directly or indirectly owns more than 25% of the shares or voting rights of the company.

For non-profit organizations (vzw’s) and foundations, it generally pertains to the members of the board of directors.

Important: UBOs are always natural persons. This complexity can arise, for example, in group structures when identifying this person.

What does UBO registration involve?

Once it is clear who the UBO is, the company must register certain information about that person (or persons).

This includes:

  • Name
  • Date of birth
  • Residential address
  • Nationality
  • The extent of their interests
  • Supporting evidence for all of the above

 

Depending on the type (company, non-profit organization, or foundation), additional information may be requested.

These details must be confirmed annually, and any changes to UBO information must be updated in the UBO register within a month.

 

How is the registration done?

The registration in the UBO register takes place online via www.myminfinpro.be. This can be done by the company itself or delegated to a third party with a power of attorney for this purpose.

When registering your UBOs, you must attach documents proving that the information regarding the identity of the UBOs and the nature and extent of their interest is adequate, accurate, and up-to-date. Specific rules apply to foreign documents.

  • One-time UBO registration for a maximum of 3 UBOs: €200.00 (excluding VAT)
  • One-time registration from the 4th UBO onwards: + €75.00 (excluding VAT) for each additional UBO
  • Annual confirmation in the register: €100.00 (excluding VAT)
  • Change to the data in the register: €100.00 (excluding VAT)
  • Advice and guidance on the identification of your UBOs: Price on request
